Bien que la communication de la société sur les rémunérations attribuées pourrait être grandement améliorée, les montants attribués sont plutôt modérés et le bonus du dirigeant semble globalement plutôt aligné avec les performances du groupe. Nous soutenons donc la résolution 8.
Quant à la politique de rémunération pour l'exercice 2019, l'absence de communication sur les montants constitue un blanc-seing accordé au Conseil (résolution 9).

Concernant la convention réglementée conclue avec Oppidum Patrimonial et non autorisée préalablement par le Conseil (résolution 5), nous pensons qu'une base de calcul plus appropriée dans la présentation de la facturation permettrait aux actionnaires de se prononcer de manière plus éclairée. En effet, la rémunération d'Oppidum Patrimonial d'un montant de 12% HT s'imputant sur le total du prix de vente TTC des immeubles en l'état futur d'achèvement fait ressortir un montant réel pour CBo Territoria de 14,4% du prix de vente HT.

Enfin, pour les opérations sur le capital de la société, Proxinvest s'oppose à leur maintien en période d'offre publique, en raison de leur possible utilisation comme dispositif anti-OPA.
